1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by RouteEasy Ltd ("we", "us", "our", "Company"), a company registered in England and Wales. By using our services, you agree to be bound by these Terms.

RouteEasy Ltd provides logistics and transportation services including van services, freight services, storage solutions, and operates a partner network of hauliers across the United Kingdom.

2. Definitions

"Services" means all transportation, logistics, storage, and related services provided by RouteEasy Ltd.

"Customer" means any individual or entity that engages our services.

"Partner" means any haulier, carrier, or service provider in our network.

"Goods" means any items, cargo, or materials transported or stored through our services.

"Quote" means any price estimate provided for our services.

3. Service Agreement

3.1 Booking and Confirmation: All bookings are subject to availability and confirmation. A binding contract is formed when we confirm acceptance of your booking in writing or electronically.

3.2 Service Scope: We will provide the services as described in your booking confirmation. Any changes to the scope of services must be agreed in writing.

3.3 Partner Network: We may use third-party partners to fulfill services. We remain responsible for the performance of services provided through our partner network.

4. Pricing and Payment

4.1 Quotes: All quotes are valid for 30 days unless otherwise specified. Prices may vary based on fuel costs, route changes, or additional requirements.

4.2 Payment Terms: Payment is due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges at 8% above the Bank of England base rate.

4.3 Additional Charges: Additional charges may apply for waiting time, failed deliveries, special handling requirements, or changes to agreed services.

4.4 VAT: All prices are exclusive of VAT unless otherwise stated. VAT will be added at the prevailing rate.

5. Customer Obligations

5.1 Accurate Information: You must provide accurate and complete information about goods, addresses, contact details, and any special requirements.

5.2 Packaging: Goods must be properly packaged and labeled. You are responsible for ensuring goods are suitable for transport.

5.3 Prohibited Items: You must not tender dangerous goods, illegal items, or items that could damage other goods without prior written agreement.

5.4 Access: You must ensure reasonable access for collection and delivery, including adequate loading/unloading facilities.

6. Liability and Insurance

6.1 Goods in Transit: We maintain goods in transit insurance. Our liability is limited to £1,300 per tonne or the actual value of goods, whichever is lower, unless higher cover is specifically arranged.

6.2 Exclusions: We are not liable for indirect, consequential, or special damages, loss of profits, or delays beyond our reasonable control.

6.3 Claims: All claims must be notified within 7 days of delivery or expected delivery date. Claims must be supported by appropriate documentation.

6.4 Force Majeure: We are not liable for delays or failures due to circumstances beyond our control including weather, traffic, strikes, or government actions.

7. Cancellation and Changes

7.1 Customer Cancellation: Cancellations must be made at least 2 hours before scheduled collection. Late cancellations may incur charges.

7.2 Service Changes: Changes to bookings may result in additional charges and are subject to availability.

7.3 Our Cancellation: We reserve the right to cancel services due to safety concerns, legal restrictions, or circumstances beyond our control.

8. Data Protection and Privacy

8.1 Data Processing: We process personal data in accordance with UK GDPR and our Privacy Policy. By using our services, you consent to such processing.

8.2 Data Sharing: We may share necessary information with our partners to fulfill services, but only to the extent required.

8.3 Retention: We retain data only as long as necessary for business purposes or as required by law.

9. Partner Network Terms

9.1 Partner Requirements: All partners must maintain valid licenses, insurance, and meet our quality standards.

9.2 Performance Standards: Partners must comply with agreed service levels, safety requirements, and professional standards.

9.3 Payment to Partners: Partners are paid according to agreed terms, typically within 30 days of completed service.

10. Intellectual Property

10.1 Trademarks: RouteEasy and associated logos are trademarks of RouteEasy Ltd. Unauthorized use is prohibited.

10.2 Website Content: All content on our website is protected by copyright and may not be reproduced without permission.

11. Dispute Resolution

11.1 Complaints: We aim to resolve complaints promptly. Please contact us at sales@routeeasyltd.com with any concerns.

11.2 Mediation: Disputes will first be addressed through good faith negotiations. If unresolved, disputes may be referred to mediation.

11.3 Jurisdiction: These Terms are governed by English law, and disputes will be subject to the exclusive jurisdiction of English courts.

12. General Provisions

12.1 Entire Agreement: These Terms constitute the entire agreement between parties and supersede all prior agreements.

12.2 Amendments: We may update these Terms from time to time. Continued use of our services constitutes acceptance of updated Terms.

12.3 Severability: If any provision is found invalid, the remainder of these Terms remains in effect.

12.4 Assignment: We may assign these Terms to any successor entity. You may not assign your rights without our written consent.
